The elegant Tazio adapts perfectly to any developmental stage of your child. When used as a group 1 child safety seat, you can easily narrow the spacious seat by using a special insert. This way, the Tazio is particularly comfortable for small passengers and can be extended for taller children later on. The height-adjustable headrest as well as the wide backrest provide the best sitting and lying comfort while being adjustable into four different lying positions with only one hand and without disturbing your child. The energy-absorbing shell and the headrest provide the best side impact protection in case of an accident.

【股后變身記】國巨併不停口袋名單至少4家

被動元件廠國巨（2327）可說是靠著併購，一步步擴大經營規模與產業版圖，而其背後的推手，非董事長陳泰銘莫屬。知情人士表示，陳泰銘在2016年重啟併購後，先是補強電感產品線後，去年初開始，透過國際投資機構的居中介紹，陸續跟4家以上可能合作或併購的潛在對象接觸，日前宣布的美國普思（Pulse）就是其中之一，而針對北美車用市場，未來將會有更多的合作夥伴。

陳泰銘曾表示，過去汽車是傳統引擎，現在走向油電車再到電動車，明後年未來則是自駕車，這些都需要電子化控制，對於被動元件的需求是過去的5倍。

知情人士透露，看好5G物聯網以及車用市場，陳泰銘優先洽談的合作對象中，除了產品要具競爭力外，還希望能補強國巨產品線或是能擴增特定市場的，像普思在汽車及工業市場已累積許多客戶，也能補強國巨的保護元件產品線。

其實，長期以來陳泰銘都有密切注意是否有合適的併購標的，但之前因為產業供需失衡，才會以調整自身體質為首要目標。此外，包括大毅（2478）、佳邦（6284）、九豪（6127）都是市場頻傳國巨有意併購的標的。

面對中國廠商的急起直追，今年股東會上，陳泰銘宣布要擺脫OEM（代工生產）思維，結合不同公司的獨特競爭力，將規模做大、把全球當市場。他說：「不只是要打被動元件的世界盃，更要打零組件的世界盃。」言下之意，即是後續還將持續併購，不會停下來。

上一次被動元件業榮景發生在千禧年時，之後因各家擴產過速，產品不斷跌價影響獲利，國巨更因股本龐大，每股獲利數字慘不忍睹，股價更難有表現，2008年時甚至跌到3.01元，更讓陳泰銘一度想讓國巨私有化下市。不料2011年時，與私募基金提出每股16.1元的收購價，不僅小股東痛批、遭投審會駁回，更讓《企業併購法》新增「國巨條款」，規定下市合併案必須滿足過半股東出席、持股3分之2以上的股東同意等條件。

但從2013年開始，歷經連續4次減資後，股本由原本的220億元，大幅瘦身到35億元，減資幅度逾8成後，隨著產品順利調漲，獲利重拾成長後，激勵國巨股價不斷向上，成為台股最新股后。（撰文：魏鑫陽）
